1. Acceptance of the Terms
These Terms of Service (“Terms”) constitute a binding agreement between you (“you,” “your,” “User,” or “Customer”) and Fruition RevOps, Inc. (“Fruition RevOps,” “we,” “us,” or “our”). By accessing or using the Talk-to-Tasks application, any Quick Data Flow (QDF) solution, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
By engaging our services, you agree to these Terms.
2. Description of the Services
Talk-to-Tasks and our QDF solutions are cloud-based software services designed to process meeting recordings and convert them into actionable tasks routed to third-party platforms such as Notion, Monday.com, Asana, Trello, Slack, Google Drive, Dropbox, Zoom, and others. The Services may include automated processes, AI-based task extraction, workflow configuration, and integrations with external systems. Your use of any of these connected services is governed both by these Terms and by the separate agreements you enter into with those third-party providers.
3. User Accounts and Access
To use the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for any actions performed using your account. Fruition RevOps is not responsible for unauthorized access resulting from your failure to safeguard your credentials.
Each workspace includes various user roles—Account Holder, Admin, Team Member, and Guest—each with differing levels of access and permissions. You are responsible for assigning and managing these roles and for all activities performed by users under your workspace.
4. Acceptable Use of the Services
You may use the Services only for lawful business purposes. You agree not to misuse the Services in any way, including but not limited to: uploading or sharing unlawful content; using meeting recordings without appropriate rights or permissions; attempting to disrupt or compromise our infrastructure; reverse-engineering any component of the Service; or using the platform to violate privacy, confidentiality, or intellectual property rights of others. Fruition RevOps reserves the right to suspend or terminate accounts that engage in prohibited conduct.
5. Use of Artificial Intelligence (AI)
Talk-to-Tasks uses secure third-party AI providers to process meeting recordings, analyze content, and generate task suggestions. You acknowledge and understand that AI-generated output may require review and adjustment and that you remain solely responsible for verifying the accuracy, appropriateness, and completeness of tasks before acting upon them. You also acknowledge that AI providers do not own or store your content, and that all AI processing is performed through encrypted channels for the sole purpose of delivering the Services you request.
6. Third-Party Integrations
The Services may allow or require you to connect third-party tools such as Zoom, Slack, Notion, Monday.com, Asana, Trello, Google Drive, Dropbox, and others. By enabling these integrations, you authorize Fruition RevOps to send and retrieve information from these services as needed to provide functionality. It is your responsibility to ensure that your accounts with those providers remain active and properly configured.
Fruition RevOps is not responsible for any disruptions, data loss, API failures, permission errors, or downtime originating from such third-party services. You acknowledge that your use of these external tools is governed by their respective terms and privacy policies.
7. Payment, Subscriptions, and Billing
Certain features of the Services require payment. By subscribing to a paid plan, you authorize Fruition RevOps and its payment processor (Stripe) to charge your provided payment method for recurring subscription fees, add-ons, overage charges, and applicable taxes. Subscriptions renew automatically until canceled. You may cancel at any time through your account settings; cancellations take effect at the end of the current billing cycle.
Because the Services provide immediate functional value, subscription fees, add-on purchases, and usage-based charges are non-refundable, except where required by law. Trials convert into paid plans automatically unless canceled prior to the renewal time.
8. Intellectual Property
All intellectual property rights related to the Services—including but not limited to software, architecture, algorithms, workflow designs, content, templates, QDF automations, and branding—are owned exclusively by Fruition RevOps, Inc. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only. You may not copy, reproduce, resell, or attempt to recreate any part of the Services.
9. Data Ownership and Handling
You retain ownership of all data, meeting recordings, links, and task information you submit to the Services. Fruition RevOps processes this data solely to provide the Services and never sells or monetizes your content. Video files uploaded directly to the system are deleted immediately after processing. When you submit a Zoom, Google Drive, or Dropbox link, the recording is accessed temporarily for processing but not downloaded or stored. All task metadata and routing configurations remain accessible to you for as long as your account remains active.
10. Confidentiality
Fruition RevOps agrees to maintain the confidentiality of your business information and meeting content, except where disclosure is required by law or necessary to provide the Services. You also agree to maintain the confidentiality of any proprietary information you learn about our systems, processes, or infrastructure.
11. Disclaimer of Warranties
The Services are provided “as is” and “as available.” Fruition RevOps does not guarantee that the Services will be uninterrupted, error-free, or free of defects. While we take all reasonable measures to ensure high system reliability, we make no warranty regarding the accuracy of AI-generated tasks, integration performance, or third-party system behavior. You use the Services at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, Fruition RevOps shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or business interruptions. Fruition RevOps’ total liability for any claim arising from or related to the Services shall not exceed the amount you paid in the twelve months preceding the claim.
13. Termination
You may terminate your account at any time through your workspace or by contacting support. Fruition RevOps may suspend or terminate your account if you fail to pay fees, violate these Terms, create security risks, or misuse the Services. Upon termination, you remain responsible for all charges accrued prior to the termination date.
14. Governing Law
These Terms shall be governed by and interpreted according to the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in California.
15. Changes to These Terms
Fruition RevOps may revise these Terms periodically to reflect updates to our Services or legal requirements. The most current version will always be posted on this page. Continued use of the Services after changes constitute acceptance of the updated Terms.
